Terms of service, limitation of liability, and assumption of risk governing the use of aceofbangs.com and all DJ, live music, MC, and AV production services provided by Ace of Bangs.
Last updated: January 2026 · Effective immediately upon use of services
1. Definitions
For purposes of this document:
- “Ace of Bangs,” “we,” “us,” or “our” means Ace of Bangs and its owners, officers, employees, independent contractors, sub-contracted performers, affiliated vendors, and members of the Event Resource Crew (collectively, the “Released Parties”).
- “Client” means any individual or entity that books, engages, or commissions Ace of Bangs for any service.
- “Services” means any and all DJ performance, live music performance, MC and host services, AV production, sound engineering, lighting, equipment rental, event coordination, and any related entertainment services provided by Ace of Bangs.
- “Event” means any wedding, reception, corporate function, gala, festival, private party, birthday, holiday party, or other gathering at which Services are provided.
- “Attendee” means any guest, invitee, third party, or person present at an Event.
2. Acceptance of Terms
These Terms constitute a binding agreement between the Client and Ace of Bangs. Acceptance occurs at the earliest of: (a) submission of a booking inquiry through aceofbangs.com; (b) execution of a written service agreement; (c) payment of any deposit or retainer; or (d) commencement of Services. Specific event contracts may include additional terms; in the event of a conflict, the executed event contract governs the specific Event, while these Terms continue to apply generally to use of this site and the broader relationship.
3. Services Description
Ace of Bangs provides professional entertainment Services as a creative and discretionary practice. While we use commercially reasonable efforts to deliver high-quality performances, Services are inherently subjective and influenced by factors outside our control, including but not limited to venue acoustics, crowd participation, weather, equipment performance, third-party vendor coordination, and Attendee behavior. Ace of Bangs makes no warranty, express or implied, that any Event will achieve a specific mood, atmosphere, outcome, or level of Attendee enjoyment.
4. Limitation of Liability
This limitation applies to all claims, whether based in contract, tort (including negligence), strict liability, statute, or any other legal theory, and includes without limitation:
- Loss of profits, revenue, business opportunity, or goodwill
- Loss or damage to data, reputation, or sentimental value
- Costs of substitute services or replacement entertainment
- Damages arising from event delays, cancellations, or scheduling changes
- Damages arising from equipment failure, power outages, internet outages, or streaming interruptions
- Damages arising from the actions, omissions, or behavior of any Attendee, venue staff, third-party vendor, or independent contractor
In no event shall the total aggregate liability of the Released Parties to the Client for any and all claims arising out of or related to the Services exceed the total fees actually paid by the Client to Ace of Bangs for the specific Event giving rise to the claim. This cap is a material term of the agreement and the basis upon which Ace of Bangs is willing to provide Services at the agreed price.
5. Vicarious Liability Disclaimer
The Client expressly acknowledges and agrees that:
- Ace of Bangs is not responsible for, and shall not be held vicariously liable for, the acts, omissions, conduct, statements, or behavior of any Attendee, guest, invitee, venue, third-party vendor, or person present at an Event.
- Ace of Bangs does not control crowd behavior, intoxication, physical altercations, slips, trips, falls, or other Attendee actions, and shall have no liability for injuries or damages arising from such actions.
- Ace of Bangs is not responsible for the lawful or unlawful conduct of any third party present at an Event, including but not limited to assault, harassment, theft, vandalism, or any criminal act.
- Members of the Event Resource Crew (sub-contracted DJs, musicians, MCs, AV technicians, photographers, and other vendors) operate as independent contractors and not as agents or employees of Ace of Bangs; Ace of Bangs disclaims vicarious liability for their independent actions to the maximum extent permitted by law.
- Where Ace of Bangs introduces, recommends, or coordinates with other vendors (planners, venues, photographers, caterers, florists, etc.), such introductions or coordination do not create any agency, employment, partnership, joint venture, or fiduciary relationship, and Ace of Bangs is not liable for the services, performance, or conduct of those independent parties.
6. Indemnification by Client
To the maximum extent permitted by law, the Client agrees to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, suits, actions, proceedings, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
- The Client's breach of these Terms or any event contract;
- The conduct, actions, or omissions of the Client or any Attendee at an Event;
- Injury, illness, death, or property damage occurring at an Event, except to the extent caused by the gross negligence or willful misconduct of Ace of Bangs;
- Any third-party claim relating to the use of music, video, or other media performed or displayed at the Event, where such use was at the Client's request or direction;
- Any violation of venue rules, local ordinances, noise restrictions, or applicable law arising from Client or Attendee conduct.
7. Assumption of Risk — Event Conditions
Entertainment events involve inherent risks. By engaging Ace of Bangs and/or attending an Event, the Client and each Attendee expressly assume the risks associated with such Events, including but not limited to:
Sound & volume
Professional DJ and live music performances involve elevated sound levels. Attendees with hearing sensitivity, hearing aids, or hearing-related medical conditions should take appropriate precautions, including maintaining safe distance from speakers and using hearing protection. Ace of Bangs is not liable for hearing damage, tinnitus, or related conditions claimed to result from attendance at an Event.
Lighting & visual effects
Events may include strobe lighting, laser effects, fog or haze, moving lights, and other visual effects that may pose risks to persons with photosensitive epilepsy, migraine conditions, vestibular disorders, or other photosensitive conditions. Attendees with such conditions assume all risk of attending and should be appropriately warned by the Client.
Equipment & cables
Professional sound, lighting, and AV equipment includes speakers, stands, cables, electrical connections, and rigging. Attendees agree to keep a safe distance from equipment, not to tamper with or touch equipment, and not to consume food or beverages near electrical components. Ace of Bangs is not liable for injury or damage resulting from Attendee interaction with equipment.
Crowd & dancing
Dancing, crowd activity, and gathered events involve risks of slips, trips, falls, collisions, and physical contact. Attendees participate at their own risk.
8. Music Licensing & Performance Rights
The Client warrants and represents that the venue at which Services will be performed holds all required music performance licenses (including ASCAP, BMI, SESAC, GMR, or equivalent licenses) for the performance of copyrighted musical works at the Event. The Client agrees to indemnify Ace of Bangs against any claim arising from missing, expired, or inadequate venue music licensing. Ace of Bangs is not responsible for verifying venue licensing status.
Specific song or media requests made by the Client are at the Client's discretion and risk. Ace of Bangs reserves the right to decline to play any specific track that, in our reasonable judgment, is illegal, violates applicable law, contains content that creates a hostile or unsafe environment, or is otherwise inappropriate.
9. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond reasonable control, including but not limited to: acts of God, natural disasters, severe weather, fire, flood, earthquake, hurricane, tornado; war, terrorism, civil unrest, or governmental action; epidemic, pandemic, public health emergency, quarantine, or government-imposed restrictions; venue closure, loss of venue, or venue cancellation; power, internet, or utility failure; serious illness, injury, or death of performer; vehicle accident or travel disruption; equipment failure beyond reasonable preventive maintenance; strike, labor dispute, or supply chain disruption; or any other event materially beyond the affected party's reasonable control (each, a “Force Majeure Event”).
If a Force Majeure Event prevents Ace of Bangs from performing, the parties will work in good faith to reschedule the Event. Specific cancellation, refund, and reschedule terms are addressed in each Event's individual service agreement.
10. Photo, Video, & Media Capture
Ace of Bangs may, from time to time, capture photographs, video, or audio of the DJ booth, equipment setup, crowd atmosphere, and general Event ambience for use in our portfolio, marketing materials, social media, and website. By attending an Event, Attendees consent to such capture and to non-identifiable, non-defamatory use of such media. Clients may opt out by written request prior to the Event. See our Privacy Policy for further details.
11. Independent Contractor Status
Ace of Bangs is an independent contractor and is not an employee, agent, partner, or joint venturer of any Client, venue, or third-party vendor. Nothing in these Terms creates any employer-employee, principal-agent, partnership, or fiduciary relationship between the parties. Each party is solely responsible for its own taxes, insurance, and legal obligations.
12. Intellectual Property
All content on aceofbangs.com — including the “Ace of Bangs” name, logo, branding, photographs, mixes, recordings, written copy, design, and structure — is the exclusive property of Ace of Bangs (or its licensors) and is protected by U.S. and international copyright, trademark, and intellectual property law. If you provide contact information to Ace of Bangs, you consent to be contacted by email, phone, or SMS regarding your inquiry and any booked Services. SMS messaging is governed by our separate SMS Opt In / Opt Out policy. Standard message and data rates from your mobile carrier may apply.
15. Right of Refusal
Ace of Bangs reserves the right to refuse, decline, modify, or terminate Services at our sole discretion when: (a) Client or Attendee behavior threatens the safety or well-being of any person, including Ace of Bangs personnel; (b) the Event environment is unsafe, unsecure, or non-compliant with applicable law; (c) the Client has breached the event contract or these Terms; (d) the Client fails to make required payments; or (e) any other circumstance that, in our reasonable judgment, makes the continued provision of Services inadvisable.
16. Governing Law & Jurisdiction
These Terms shall be governed by and construed under the laws of the State of Texas, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or this website shall be brought exclusively in the state or federal courts located in Harris County, Texas, and the parties consent to the personal jurisdiction and venue of those courts. The prevailing party in any such proceeding shall be entitled to recover reasonable attorneys' fees and costs.
17. Dispute Resolution & Waiver of Class Action
The parties agree to attempt good-faith resolution of any dispute through direct negotiation for a period of at least thirty (30) days before commencing any formal proceeding. To the maximum extent permitted by law, the Client waives any right to participate in a class action, collective action, or representative proceeding against Ace of Bangs.
18. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall remain in full force and effect. Where possible, the invalid provision shall be modified to the minimum extent necessary to render it enforceable while preserving the original intent.
19. No Waiver
The failure of Ace of Bangs to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision, nor shall any single or partial exercise of any right preclude further exercise of that right.
20. Entire Agreement
These Terms, together with our Privacy Policy, SMS Opt In / Opt Out policy, and any executed event service agreement, constitute the entire agreement between the Client and Ace of Bangs regarding the subject matter herein, and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
21. Modifications
Ace of Bangs may modify these Terms at any time. Material changes will be reflected by an updated “Last updated” date at the top of this page. Continued use of aceofbangs.com or Services after such posting constitutes acceptance of the modified Terms.
